1. Acceptance of Terms

Charm AI is operated by Black Rose Studios in Peoria, Arizona. By creating an account, accessing Charm AI, or using the messaging service, you agree to these Terms & Conditions. If you do not agree, do not use the service.

2. Description of Service

Charm AI provides customer-initiated SMS automation tools for independent online sellers and service providers. The service helps sellers respond to inbound customer texts about products, services, pricing, hours, scheduling, appointment confirmations, and related customer-care questions. AI-generated replies are based on seller-approved business context and should be reviewed or monitored by the seller.

3. Eligibility and Account Responsibilities

  • You must be at least 18 years old to use Charm AI.
  • You must provide accurate seller, business, payment, and contact information.
  • You are responsible for activity under your account and for the accuracy of business information used to generate replies.
  • You must keep login credentials secure and notify us of unauthorized access.

4. SMS Consent and Permitted Messaging

Charm AI is intended for replies to customer-initiated conversations. End users opt in by texting a seller's business phone number first from their own device after seeing that number on the seller's website, profile, product listing, invoice, booking page, or direct business communication.

Sellers may use Charm AI to reply about the seller's products, services, pricing, business hours, scheduling, appointment confirmations, and lead qualification follow-ups. Sellers may not use Charm AI for cold outreach, purchased lists, scraping, affiliate marketing blasts, deceptive lead generation, or unrelated promotional campaigns.

5. SMS Disclosures, STOP, and HELP

  • Message frequency varies based on the customer's conversation with the seller.
  • Message and data rates may apply.
  • Customers may reply STOP, UNSUBSCRIBE, CANCEL, END, QUIT, STOPALL, or OPTOUT at any time. Charm AI sends one confirmation and suppresses future replies unless the customer texts START.
  • Customers may reply HELP or ask for assistance to receive support information or be escalated to the seller.
  • Sellers are responsible for honoring applicable consent, opt-out, carrier, and legal requirements.

6. Acceptable Use

You agree not to use Charm AI to:

  • Send spam, unsolicited messages, or messages to people who have not initiated contact or otherwise consented.
  • Use purchased, rented, scraped, or harvested contact lists.
  • Send messages involving prohibited or high-risk content categories, including unlawful content, hate, harassment, deception, fraud, phishing, gambling, cannabis/CBD where prohibited, political messaging without required approvals, or financial offers that violate carrier rules.
  • Impersonate any person or entity in a deceptive or harmful way.
  • Misrepresent pricing, availability, policies, appointments, or business terms.
  • Attempt to bypass carrier, Twilio, or Charm AI compliance controls.

7. AI-Generated Content

AI-generated replies may be inaccurate or incomplete. Sellers are responsible for monitoring the service, maintaining accurate business context, and correcting any reply that does not reflect their products, services, pricing, policies, or availability. Charm AI does not provide legal, financial, medical, or professional advice.

8. Third-Party Services

Charm AI may use third-party providers such as Twilio for SMS/MMS delivery, Vercel or database providers for hosting and infrastructure, authentication providers for login, payment providers for billing, and AI model providers or local model infrastructure for response drafting. Your use of these features may also be subject to those providers' terms and policies.

9. Billing and Subscriptions

Paid plans, if offered, are billed according to the plan selected at checkout. You may cancel according to the billing terms shown during sign-up. Carrier, phone number, SMS/MMS, and compliance fees may apply depending on usage and provider requirements.

10. Suspension and Termination

We may suspend or terminate access if we believe an account violates these Terms, carrier rules, Twilio policies, applicable law, or creates risk to customers, sellers, carriers, or Charm AI. Sellers may stop using the service at any time.

11. Limitation of Liability

To the maximum extent permitted by law, Charm AI and Black Rose Studios are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, carrier filtering, registration decisions, or business outcomes arising from use of the service.
