1. Acceptance of Terms

By creating an account or using Charm AI ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service. We reserve the right to update these terms at any time — continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years old to use Charm AI. By using the Service, you represent and warrant that you meet this age requirement and that all information you provide is accurate and truthful.

3. Description of Service

Charm AI is an AI-powered personal concierge that helps users draft messages, optimize profiles, critique photos, generate conversation openers, and manage SMS conversations through a dedicated phone number. The Service uses large language models to generate suggestions — all AI output is advisory only and does not constitute professional advice of any kind.

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• You may not share your account with others or create accounts on behalf of others without authorization.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or harass other individuals.
• Impersonate any person or entity in a deceptive or harmful way.
• Violate any applicable local, state, national, or international law.
• Transmit any content that is unlawful, abusive, threatening, or defamatory.
• Attempt to reverse-engineer, scrape, or disrupt the platform or its infrastructure.
• Use AI-generated messages to deceive, manipulate, or defraud other people.

6. SMS & Phone Number Usage

When you use the SMS feature, you are assigned a dedicated Twilio phone number. You acknowledge that SMS messages sent through this number are subject to carrier policies and applicable telecommunications law. You are solely responsible for the content of messages sent from your assigned number. Charm AI is not liable for messages sent using the auto-send feature without your review.

7. Subscription & Billing

• Paid plans are billed on a recurring basis (monthly or annually) via Stripe.
• You may cancel your subscription at any time from the billing settings page.
• Cancellation takes effect at the end of the current billing period — no partial refunds.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

8. AI-Generated Content

Charm AI uses third-party AI models (including Anthropic's Claude) to generate suggestions. We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content. You are solely responsible for reviewing and approving any message before it is sent. We are not liable for outcomes resulting from the use of AI-generated suggestions.

9. Intellectual Property

All platform code, design, branding, and original content are the property of Charm AI and its licensors. You retain ownership of content you submit (messages, photos, bios) but grant us a limited license to process that content to provide the Service. You may not copy, reproduce, or distribute any part of the platform without written permission.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI suggestions will achieve any particular result in your personal or professional life or relationships.

11. Limitation of Liability

To the fullest extent permitted by law, Charm AI and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, relationship outcomes, or reputational harm. Our total liability shall not exceed the amount you paid us in the 30 days preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, without prior notice. You may also delete your account at any time. Upon termination, your access to the Service will cease and your data will be deleted per our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law.
